The following are some general comments describing our current stable, our approach and who we are.

 

The minimum cost of becoming a member in 5R Racehorse Stables is $100.00 with no further payments required and no subsequent fees. Anyone can purchase as many membership interests as desired (please refer to the Membership Agreement).

 

All members participate in any potential revenues in excess of costs based on and weighted by their dollar for dollar membership cost.

 

The managers are not paid a fee or salary or any other monetary or material remuneration or profit except by way of their purchase of membership interests on a dollar per dollar equal par with all other membership interests. So you may consider this stable to be a co-op of sorts.

 

Are you a newcomer to racehorse partnerships? If so we encourage you to look at other partnerships and compare what you find to what we are attempting to accomplish. There are quite a few and all are easily found on the internet. We would especially recommend that you visit the Thoroughbred Owners and Breeders Association (TOBA) website for more basic information regarding racehorse ownership. You owe it to yourself to make an informed decision.

 

The stable comprises three specific thoroughbred juveniles. No additional horses will be acquired or otherwise raced other than the three described on the ‘HORSES’ page on this website.  Rather than facing the risk of one horse not succeeding – the odds of success is improved with three horses.  The pedigrees are listed: there is one colt and two fillies – they were born in April and May of 2008.

 

We will not set a target racing time for their first race.  We will let each horse tell us when he/she is ready. If he/she gets sore, it gets a rest.

 

We intend to race initially in New York and depending on their ability and promise - we will go to any track (i.e., tracks offering G1 level racing) offering a race that sets up well for the horse.

 

We can’t predetermine what purse sizes to target before the horse demonstrates its ability.  

 

THE OPERATION:

 

We have set a budget of $300,000 for 2 years for all three of the horses as a group. We train.  We race.

 

Who we are:

 

The stable was founded by four founding members.  One member and I have been breeding Thoroughbreds since 2007.  Another member has raced Thoroughbreds previously in New York.  All of us are experienced equestrians and have competed on Thoroughbreds in equitation horse shows, hunter/jumper and Dressage events.  We continuously educate ourselves and strive to improve our expertise by attending numerous workshops and courses each year on racehorse care and equine studies; we attended courses at the New Bolton Equine Center and Large Animal Hospital, various Rutgers University Equine Science programs as well as courses and workshops from individual experts e.g., Laura Florence’s holistic farrier workshops.

 

About the horses:

 

We adopted the three yearlings from a farm in upstate New York where 177 horses were found starving to their deaths.  We adopted the youngsters with the open and publicly communicated intention to race when interviewed during the adoption process. Columbia-Greene Humane Society /SPCA (CGHS) was the agency that managed the rigorous adoption screening and they interviewed everyone involved in our program: veterinarians including doctors at the New Bolton Equine Center and Large Animal Hospital, farm owners, farrier and us.
 

The horses will never be sold for profit nor will they be raced in claiming races.  We will set aside a small amount of funds in the 5R Racehorse Trust to care for their lifetime retirement.  If after racing or in the unlikely event that they are unsuited to racing they will be tried out for other sport horse endeavors such as Dressage or Hunter/Jumper.  If they aren't amenable to sport we will train them for riding.

 

At each race we intend to promote the three horses as ambassadors to be a positive agent for change and to promote the positive side of the American horse racing industry.  We will also support several equine charities by allowing them to participate in our events at the races.  None of the purse money will be given to the charities but stable members are free to make donations privately in their own name if they so choose - but not on behalf of this stable.

 

All of that being said, here is the best part: these horses are LIVE and ready to tear the barn down. We are thrilled and consider it a privilege to have acquired these three very promising youngsters.

P.S. A few words about the risks...

The memberships represent private interests in 5R Racehorse Stable Series 1, LLC (the “Stable”) and are governed by the company agreement issued to all members.  The sale or other transfer of such memberships is also subject to the restrictions set forth in the relevant transfer of interests Article of the company agreement.

 

Risk and Representations and Warranties of the Parties

 

Each person or organization who becomes a member of the Stable, hereby represents and warrants that he/she is able to, either alone or together with his/her advisers, independently evaluate the risks of such ventures.

 

The Stable’s objectives and goals are to race Thoroughbred racehorses.  Thoroughbred racehorse ownership is a highly speculative and extremely risky activity.  There is reasonable probability that any member of the Stable may lose all or a significant portion of his/her payment to the Stable in a very short period of time and that the Stable may fail completely in its objectives and goals. 

 

Further, all persons understand and accept that it is not possible to predict the performance of Thoroughbreds in any way whatsoever and therefore any horse owned by the Stable may be a complete failure or die or become ill at any time.  There can be no assurance that the business of the Stable can or will be successful and will not partially or totally fail.  Members may receive no return of any of the amounts paid for Interests in the Company upon the dissolution of the Company.

 

Except for the specific written representations and Warranties expressly made in writing in the Agreement by the Stable, each person acknowledges and agrees to the following at the time of joining the Stable:

 

No person(s) or organizations(s) or the Manager of the Stable or any other person or organization of any kind or nature whatsoever has made any representation or warranty or guarantee or promise of any kind or nature whatsoever associated in any way whatsoever with the Stable or its business or its Manager or advisers or agents.

 

All Parties to the Agreement understand and accept the fact that the ownership of Thoroughbred racehorses by the Stable is highly speculative and risky and further that they may lose all or a portion of their payments to the Stable at any time.
